Atos Origin and Siemens to Create a European IT Champion
Atos Origin to acquire Siemens IT Solutions and Services Siemens and Atos Origin to become strategic partners
PARIS and MUNICH, Dec. 14, 2010 /PRNewswire/ -- Atos Origin and Siemens announce their intention to form a global strategic partnership. Siemens will contribute its Siemens IT Solutions and Services for a total sum of euro 850 million to Atos Origin in order to create a European IT champion. Siemens will become for a period of at least five years a sustainable shareholder of Atos Origin with a 15% stake. The transaction will create a leading IT services company with pro forma 2010 revenues of approximately euro 8.7 billion and 78,500 employees worldwide. As part of the transaction, Siemens concluded a seven-year outsourcing contract worth around euro 5.5 billion, under which Atos Origin will provide Managed Services and Systems Integration to Siemens. The new company will operate the largest European managed services platforms, will be uniquely positioned to deliver cloud computing services, market leading System Integration solutions such as Consolidation & Harmonization, Energy, PLM and to enhance significantly its electronic payments and transaction based activities.

Solutions and Services Siemens will receive approximately 12.5 million
of Atos Origin shares currently at euro 414 million, a five year
convertible bond of euro 250 million and a cash payment of approximately

company is expected to generate revenues between euro 9 to euro 10

A deal structure tailored to create short term value for Atos Origin shareholders including Siemens and strongly protective of Atos Origin cash
The deal creates the framework for a sustainable global partnership between Atos Origin and Siemens. The transaction will be financed by Atos Origin delivering approximately 12.5 million shares to Siemens - representing 15% of the outstanding capital of the combined group, with a five-year lock-up commitment and a cash consideration of euro 186 million, Atos Origin will also issue a five-year convertible bond reserved to Siemens for euro 250 million. After this transaction, Atos expects to be net debt free as early as the end of 2012.
The transaction is structured in order to be short-term accretive on the Earning per Share (EPS) for Atos Origin. Siemens IT Solutions and Services will be transferred by Siemens on a debt and cash free basis. Siemens has agreed also to assume responsibility after deal closure for certain obligations including projects risks unidentified at closing.
The creation of a champion in IT Services
The deal is a major step in the strategy of Atos Origin to reach a global scale and grow strongly both in IT services and in high tech transactional services. The integration of a reshaped business

A Turnaround programme to increase Operating Margin
Following the deal closure, Atos Origin will complete the group transformation and integration of Siemens IT Solutions and Services into Atos Origin with the support of Siemens. It will execute its merger plans rapidly through the implementation of a second Total Operational Performance (TOP) programme - TOP2.
Following on from the successful TOP program launched in December 2008, TOP2 will increase the profitability of the combined entity by optimising synergies around office locations and procurement focusing on reducing G&A costs and implementing Lean management process.
These combined measures should generate euro 225 million additional operating margin by 2013.

(Nasdaq: NIHD) announces that its subsidiary, Nextel Brazil, was the winning bidder for 20 MHz licenses in the 1.9-2.1GHz frequency band (H band) auctioned by Brazil's National Telecommunications Agency (Anatel). Nextel Brazil was the successful bidder for 11 of the 13 lots included in the H Band auction. The regional licenses won by Nextel Brazil cover approximately 182.4 million people in the country, or 97% of the Brazilian population, and 97% of the areas that generate the GDP in Brazil. These licenses cover all major metropolitan areas in Brazil including Sao Paulo, Rio de Janeiro and Brasilia.

Montana Public Service Commission Approves CenturyLink-Qwest Merger
Combined Company Will Serve Communities Across Montana
MONROE, La. and DENVER, Dec. 14, 2010 /PRNewswire-FirstCall/ -- The Montana Public Service Commission (PSC) today unanimously approved the pending merger between CenturyLink, Inc. (NYSE: CTL) and Qwest Communications (NYSE: Q).
The PSC's approval of the merger in Montana included an in-depth review of the transaction and an agreement on public interest benefits the companies reached with the Montana Consumer Counsel, the Montana Department of Administration, as well as several competitive carriers in the state relating to various retail and wholesale issues.
As part of the approval process, the companies committed to investing a minimum of $10 million in broadband infrastructure in Montana over five years.
When the merger is completed, which is expected in the first half of 2011, the combined company will serve nearly 270,000 access lines throughout the state. It will have a presence in all of Montana's largest communities, as well as many towns and rural areas.
MERGER UPDATE
-- Including Montana, 13 states and the District of Columbia have approved
the proposed merger.
-- The companies also must receive approval from eight additional states
and the Federal Communications Commission.
-- CenturyLink and Qwest already have reached agreements with commission
staffs in Arizona, Minnesota and Utah. The companies also have

Survey Reveals That Americans Are Suffering From Good News Deficit
New State-of-the-Art LG Billboard in Times Square Designed to Collect and Distribute Only Good News
NEW YORK, Dec. 14, 2010 /PRNewswire/ -- New consumer research shows that the overwhelming majority of Americans (83 percent) agree that the United States is suffering from a good news deficit, with six in 10 Americans saying they don't even know where to look for good news anymore. On the heels of this LG Electronics-commissioned study, the company is unveiling its plans to help address this issue with its newest interactive billboard in Times Square.
This new LG billboard is in the heart of Times Square, above the corner of 45th Street and 7th Avenue, and will exist solely for the purpose of collecting and distributing good news. Helping to bring the billboard to life will be LG's first-ever Good News Ambassador, an animated character who will reside in the billboard and invite passersby to share their own good news via text message and tweets, giving them the chance to see their name and news in lights high above Times Square.

The need for LG's Good News billboard seems evident. The national survey of 1,000 Americans shows that seven in 10 have all but given up on their nightly newscasts because they know that there will not be any good news shown, and nearly half of all Americans surveyed said that they can't remember the last piece of good news they've heard. Additionally, more than two-thirds of Americans report that the amount of negative news on television news programs has increased in the past year, with nearly a third saying that it has significantly increased.

Children's Holiday Greetings Come to Life Via Mediasite
Sonic Foundry partners with Shorewood Hills Elementary to spread good cheer and support the school's technology initiatives

Twenty-three fourth and fifth grade students - both individually and in small groups - created concrete poems based upon the broad themes of the New Year, Peace on Earth and Joy of Winter. Technology in the Classroom
The partnership between Shorewood Hills Elementary and Sonic Foundry is part of the school's Service Learning Grant. Awarded from private STEM funds and passed through State of Wisconsin's Department of Public Instruction, the goal of the grant is to expand student relationships with the community through service learning programs and curriculum. The company also presented the class with a Mediasite RL Recorder. The gift will complement Shorewood's distinction as a Service Learning Center, and support ongoing activities to include technology in the classroom.
