MasTec Announces Significant Revision and Enhancement to Nsoro Acquisition Earn-out Terms
CORAL GABLES, Fla.,Dec. 28, 2010 /PRNewswire-FirstCall/ -- MasTec, Inc. (NYSE: MTZ) today announced that it has signed an amendment which significantly improves the Company's economics in the earn-out associated with the Nsoro acquisition, MasTec's wireless infrastructure construction and maintenance subsidiary.
Under the revised terms, MasTec will pay and deliver to the seller a one-time $40,000,000 cash payment plus 1,875,000 shares of MasTec common stock, which will be restricted for one year. Future annual earn-out payments for the five years beginning in 2011 will be reduced to 27.5% of domestic earnings before tax ("EBT") in excess of $40,000,000 and the earn-out payment for the seven month period ending July 31, 2016, reduced to 27.5% of EBT in excess of $23.3 million. Earn-outs will be payable, at MasTec's sole option, in either cash, shares of MasTec common stock, or any combination thereof. Additional terms are outlined in the 8-K filed with the SEC concurrently with this press release.
Prior to the amendment, the asset purchase agreement provided that the seller would be paid annual earn-out payments for the five years beginning in 2011 equal to the first $1,750,000 of EBT in excess of $1,750,000 of EBT plus 50% of annual EBT in excess of $3,500,000, and earn-out payments for the seven month period ending July 31, 2016 equal to the first $1,020,000 of EBT in excess of $1,020,000 plus 50% of annual EBT in excess of $2,040,000.

New Program for Medicare Beneficiaries Will Mean Major Changes Effective January 1, 2011

CMS was mandated by Congress to create this program to help control Medicare costs and lower out of pocket expenses for seniors.
In the Dallas/Ft. Worth area approximately 80-85% of medical equipment companies will be excluded from providing equipment to traditional Medicare beneficiaries. This program is limited to the eleven counties surrounding the Dallas/Ft. Worth area and is based on the zip code of the patient. Broadcom Completes Acquisition of Gigle Networks Inc.
IRVINE, Calif., Dec. 28, 2010 /PRNewswire-FirstCall/ -- Broadcom Corporation (Nasdaq: BRCM), a global leader in semiconductors for wired and wireless communications, today announced that it has completed the acquisition of Gigle Networks Inc., a privately-held company that develops system-on-a-chip (SoC) solutions for home networking over power lines.
In connection with the acquisition, Broadcom paid approximately $75 million to acquire all of the outstanding shares of capital stock and other rights of Gigle Networks Inc. The purchase price was paid in cash, except that holders of unvested employee stock options will receive Broadcom equity awards. A portion of the cash consideration payable to the stockholders was placed into escrow. Additional consideration was reserved for future payment upon satisfaction of certain performance goals. UPMC Health Plan Introduces UPMC MyHealth Connect Provider Directory Is First Offering on New Mobile Application
PITTSBURGH, Dec. 27, 2010 /PRNewswire/ -- UPMC Health Plan is introducing UPMC MyHealth Connect, its first web-browser mobile application and the first in the region to provide access to all members and non-members regardless of the brand of smartphone they use. MyHealth Connect will provide most users with immediate access to UPMC Health Plan's network of doctors, hospitals, facilities and urgent care centers.
UPMC MyHealth Connect is the latest step in UPMC Health Plan's ongoing expanded presence on social marketing sites, including YouTube, Facebook and Twitter. In November 2010, UPMC Health Plan became the first health insurer in western Pennsylvania to offer its members access via social media.

According to a survey done by MicoDialogue, a digital and social research firm, approximately three-fourths of smartphone users say they would be willing to download healthcare mobile applications and a majority would consider the ability to do so an important and helpful feature.
According to a study by the Pew Internet Project, almost 30 percent of cellphone owners ages 18-29 would use their phones to access healthcare information.

ESCO Announces AMI System Expansion at CFE in Mexico
ST. LOUIS, Dec. 27, 2010 /PRNewswire/ -- ESCO Technologies Inc. (NYSE: ESE) today announced that Mexico's electric utility Federal Commission of Electricity (CFE) has issued an additional purchase order for Aclara PLS Inc.'s TWACS® power-line technology through Ambar Electroingenieria, Aclara's AMI distributor for Mexico, and prime contractor for the entire project. The initial, prime contract was awarded in December 2009.
Aclara's TWACS technology is currently being deployed as part of CFE's Advanced Metering Infrastructure (AMI) project. CFE is Mexico's single electric utility provider, servicing nearly 34 million customers countrywide.
This follow-on purchase order provides an expanded deployment of Aclara's pole-mounted and socket-type TWACS AMI solution in Acapulco, an important seaport serviced by CFE's South-Central Division, to support the utility's AMI project. A key feature of this AMI implementation is the installation of in-home displays that will allow CFE to enhance its customer service through improved communications.
The initial purchase order in December 2009 was for approximately 90,000 meters, along with an option for an additional 90,000 meters available under the original contract. This follow-on order represents the additional 90,000 units. These combined purchase orders represent the largest individual contract ever placed by CFE for a two-way AMI communications system, and makes Aclara the leading AMI technology supplier to this utility. CFE plans to deploy new metering end-points in several major cities in Mexico over the next several years to utilize state of the art AMI features that include: asset modernization, customer service upgrades, remote meter reading, interval read capabilities, outage management, aggregate demand, energy balance, voltage quality and other cost-savings and efficiency solutions.
